<br />Special Warranty Deed (Taft Water Rights)
<br />from Lafarge West, Inc. ( "Grantor ") to Martin Marietta Materials, Inc. ( "Grantee ").
<br />1. The Taylor & Gill Ditch Company Shares. All of Grantor's right, title, and interest in
<br />and to the water rights represented by the following described shares in The Taylor &
<br />Gill Ditch Company located and used in the County of Larimer, State of Colorado,
<br />including Grantor's right to request or receive delivery of water and use water
<br />represented by said shares, including, but not limited to, all of Grantor's beneficial right,
<br />title, and interest in and to all water, water rights, ditches, ditch rights, reservoirs,
<br />reservoir rights, storage accounts, canals, canal rights, headgates and all other assets,
<br />rights, title or interests represented by said shares.

<br />a. Certificate No. 569, for thirteen and twenty -five hundredths (13.25) shares issued
<br />April 10, 2007 by The Taylor & Gill Ditch Company;
<br />b. Certificate No. 570, for eleven twentieths (11/20) shares issued April 10, 2007 by
<br />The Taylor & Gill Ditch Company;
<br />c. Certificate No. 571, for three eighths (3/8) shares issued April 10, 2007 by The
<br />Taylor & Gill Ditch Company; and
<br />d. Certificate No. 572, for one (1) share issued June 4, 2007 by The Taylor & Gill
<br />Ditch Company;
<br />and in any shares in The Taylor & Gill Ditch Company issued to replace or correct any of
<br />the foregoing certificates.
<br />2. North Shores Reservoir. All of Grantor's right, title and interest in and to North Shores
<br />Reservoir and the water rights decreed to the North Shores Reservoir in Case No.
<br />92CW157, by the District Court, Water Division 1 entered April 30, 1997, in the amount
<br />of 1,160 acre -feet (conditional) with an appropriation date of December 8, 1992 from the
<br />Cache La Poudre River and water tributary thereto, and as most recently decreed in Case
<br />No. 10CW 196, by the District Court, Water Division 1 entered July 25, 2011.
<br />3. Taft Hill Reservoir. All of Grantor's right, title and interest in and to the Taft Hill
<br />Reservoir and the water rights decreed to Taft Hill Reservoir in Case No. 92CW157, by
<br />the District Court, Water Division 1 entered April 30, 1997, in the amount of 1,080 acre -
<br />feet of water (conditional) with an appropriation date of December 8, 1992 from the
<br />Cache La Poudre River and water tributary thereto, and as most recently decreed in Case
<br />No. 10CW196, by the District Court, Water Division 1 entered July 25, 2011.
