<br />SPECIAL WARRANTY DEED
<br />(Taft Water Rights)
<br />THIS SPECIAL WARRANTY DEED is dated effective the 9th day of December 2011,
<br />between LAFARGE WEST, INC. ( "Grantor "), a corporation duly organized and existing under
<br />and by virtue of the laws of the State of Delaware, whose legal address is 10170 Church Ranch
<br />Way, Suite 200, Westminster, Colorado 80021, and MARTIN MARIETTA MATERIALS, INC.
<br />( "Grantee "), a corporation duly organized and existing under and by virtue of the laws of the
<br />State of North Carolina, whose legal address is 2710 Wycliff Road, Raleigh, North Carolina
<br />27607.
<br />GRANTOR, for and in consideration of the sum of Ten Dollars ($10.00) and other good
<br />and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, has
<br />granted, bargained, sold, transferred, conveyed, and assigned, and by these presents does grant,
<br />bargain, sell, transfer, convey, and assign unto Grantee, its heirs, successors and assigns forever,
<br />all of Grantor's right, title, and interest in and to the water rights located in the County of
<br />Larimer, Colorado more particularly described in Exhibit 1, attached hereto and incorporated
<br />herein by this reference ( "Water Rights "):

<br />AND INCORPORATED HEREIN BY THIS REFERENCE
<br />TO HAVE AND TO HOLD, together with any and all rights and appurtenances incident
<br />thereto, forever, and all the estate, right, title and interest of Grantor in the Water Rights and
<br />appurtenances. Grantor, for itself, its successors and assigns, does covenant and agree that it
<br />shall and will warrant title and forever defend the Water Rights in the quiet and peaceable
<br />possession of Grantee, its heirs, successors and assigns, against all and every person or persons
<br />claiming the whole or any part thereof, by, through, or under Grantor, but not otherwise. The
<br />singular shall include the plural and the use of any gender shall be applicable to all genders.
<br />IN WITNESS WHEREOF, Grantor has executed this Special Warranty Deed by causing
<br />its corporate name to be hereunto subscribed by its Vice President, Business Development, and
<br />its corporate seal to be hereunto affixed, attested by its Vice President, Business Development,
<br />the day and year first above written.
