IN THE UNITED STATES BANKRUPTCY COURT -- -N.
FOR THE DISTRICT OF COLORADO
In re: ) 94 FED' j:
MID-CONTINENT RESOURCES, INC. ) Ca s fio. 92=11658 -PAC
T.I.N. 36-1475193, ) Chap i 41Y-: J
Debtor. )
DEBTOR'S DISCLOSURE STATEMENT
FOR SECOND AMENDED PLAN OF LIQUIDATION
This document is the Disclosure Statement required by the
Bankruptcy Code in connection with the solicitation of votes by
creditors on the Debtor's Second Amended Plan of Liquidation, With
Revisions to February 1, 1994 (the "Plan" ) filed on February 1,
1994, by Mid-Continent Resources, Inc. (the "Debtor" ) .
The Debtor seeks confirmation of the Plan in its above-
captioned Chapter 11 case, which is pending before the United
States Bankruptcy Court for the District of Colorado. The
Disclosure Statement is designed to provide creditors with adequate
information to enable them to make a decision whether to vote for
or against the Plan.
Under the Bankruptcy Code, your acceptance of the Plan
may not be solicited unless you receive a copy of this Disclosure
Statement prior to or concurrently with such solicitation. The
Disclosure Statement was approved by the Bankruptcy Court for this
purpose on February 7, 1994. In approving the Disclosure
Statement, the Bankruptcy Court did not evaluate the merits of the
Plan itself, nor did the Court conduct a detailed investigation
into the contents of the Disclosure Statement. Therefore, the
Court's approval of the Disclosure Statement is not, and should not
be construed as, an endorsement of the Plan.
The Bankruptcy Court will hold a hearing on confirmation
of the Plan commencing at 1:30 p.m. , on April 11, 1994, in
Courtroom F, the United States Bankruptcy Court, 721 19th Street,
Denver, Colorado 80202, before United States Bankruptcy Judge
Patricia A. Clark.
You may attend the hearing on confirmation if you wish.
If you wish to be heard by the Court at the hearing in opposition
to confirmation of the Plan, you must follow the steps set out in
the "Notice of Hearing to Consider Confirmation of the Plan" which
C:\WP51\J88\MZDC0N\DIS=S.STM
February 1, 1994
