UNITED STATES BANKRUPTCY COURT FOR THE <br /> DISTRICT OF COLORADO <br /> In re: ) <br /> MID-CONTINENT RESOURCES, INC. ) Case No. 92 11658 PAC <br /> E.I.N. 36-1475193 ) <br /> Chapter 11, MC No. H&J-14 <br /> Debtor. <br /> MOTION TO AMEND PRIOR ORDER AUTHORIZING SALE OF PROPERTY, <br /> OR IN THE ALTERNATIVE, FOR ORDER AUTHORIZING SALE OF PROPERTY <br /> FREE AND CLEAR OF INTERESTS OF ENTITIES OTHER THAN THE ESTATE <br /> (THE MID-CONTINENT RIGHT-OF-WAY) <br /> Mid-Continent Resources, Inc. ("Resources" ) , debtor in <br /> possession, through its counsel, Holden & Jessop, P.C. , moves for <br /> authorization to amend a prior motion and order to sell property <br /> of the estate pursuant- to Sections 363(b) and (f) of the <br /> Bankruptcy Code. 'In support of this Motion, Resources states as <br /> follows: <br /> 1. Resources filed a voluntary petition under Chapter <br /> 11 of the Bankruptcy Code on February 12, 1992. Resources <br /> currently is administering its bankruptcy estate as debtor-in- <br /> possession. <br /> 2. Resources holds record title to approximately 5.17 <br /> acres of real property located in Garfield County, Colorado, <br /> referred to herein as the "Mid-Continent Right-of-Way. " There <br /> are no improvements on the Mid-Continent Right-of-Way which goes <br /> through a portion of property owned by the Greenwald family <br /> ( "Greenwald") . <br /> 3. Resources, as Seller, and Greenwald, as Buyer, <br /> have negotiated an agreement for the sale of the Mid-Continent <br /> Right-of-Way. The terms of sale were set forth in a Motion for <br /> Approval of Sale of Property of the Estate (The Mid-Continent <br /> Right=of-Way) Pursuant to Sections 363(b) AND (f) filed on August <br /> 24, 1993, and, with a minor modification, approved by the Court <br /> on October 15, 1993. In summary, the sale to Greenwald calls for <br /> a sales price of $15,000, with no sales commission, and payment <br /> by Greenwald of fees for real estate closing and settlement <br /> services not to exceed $300.00. Transfer of title shall be by <br /> Quit Claim Deed. <br /> 4. Subsequent to approval of the August 24, 1993 <br /> motion, Resources discovered that the legal description used in <br /> the motion and the October 15, 1993 Order was erroneous.
