DEBTOR'S PLAN OF LIQUIDATION
Mid-Continent Resources, Inc. , debtor in possession,
submits the following Plan of Liquidation dated July 2, 1993 .
ARTICLE I
DEFINITIONS
The following terms, when used in this Plan, unless the
context otherwise requires, shall have the following meanings:
1. 1 Administrative Expense means any cost or expense
of administration of the Debtor's Chapter 11 case allowed under
Section 503 (b) of the Bankruptcy Code, including without
limitation, all expenses of operating the business of the Debtor,
all allowances of compensation for services rendered and
reimbursement of expenses to the extent allowed by the Bankruptcy
Court under Section 330 of the Bankruptcy Code, and any fees or
charges assessed against the Debtor's estate under Chapter 1123,
Title 28, United States Code.
1.2 Allowed Claim means any Claim against the Debtor,
proof of which was filed within any applicable period of
limitation fixed by the Court, or any Claim that appears in the
schedules of liabilities filed by the Debtor in its Chapter 11
case and that is not scheduled by the Debtor as disputed,
contingent, or unliquidated and, in either instance, a Claim as
to which no objection has been filed within any applicable period
of limitation or, if such objection has been filed, as to which
there has been entered a Final Order allowing such Claim.
1.3 Bankruptcy Code shall mean Title 11, United States
Code.
1 .4 Carbondale Industrial Park shall mean the parcel
referred to on the Debtor's Schedule A as the "Carbondale
Industrial Park. "
