FOR FIRST AMENDED PLAN OF LIQUIDATION
Mid-Continent Resources, Inc. , debtor in possession,
through its attorneys, Holden & Jessop, P.C. , submits the following
Disclosure Statement in connection with its First Amended Plan of
Liquidation (the "Plan" ) filed on October 1, 1993. The Disclosure
Statement, as submitted, is subject to review by parties in
interest and a determination by the Court that the statement
