contained herein and any present or future statute, law, ordinance <br />or regulation contrary to which the parties have no legal right to <br />contract, the latter shall prevail whereby the provision of this <br />Contract which is affected shall be curtailed and limited to the <br />extent necessary to bring it within the requirements of the law. <br />I. Further Assurances. Each of the parties hereto shall <br />execute and deliver any and all additional papers, documents and <br />other assurances, and shall do any and all acts and things <br />reasonably necessary in connection with the performance of their <br />obligations hereunder. <br />J. Modifications and Amendments. This Contract, including <br />this paragraph, may be modified or amended only by an agreement in <br />writing signed by all of the parties hereto. <br />K. Successors and Assigns. All of the terms and provisions <br />contained herein shall inure to the benefit of and shall be binding <br />upon the parties hereto and their respective successors and <br />assigns. Neither Mid - Continent nor Contractor shall assign its <br />interest in this Contract without the written consent of the other <br />except as to the assignment of proceeds. Notwithstanding the <br />preceding sentence, Mid- Continent expressly is authorized to assign <br />its rights and /or its obligations under the Contract Documents to <br />a bankruptcy trustee, to a trustee appointed pursuant to a Chapter <br />11 plan, or to a successor designated pursuant to an order or <br />orders of the Court. <br />L. Counterparts. This Contract may be executed in several <br />counterparts, each of which shall be deemed to be an original and <br />all of which together shall constitute the Contract, <br />notwithstanding the fact that all the parties have not been <br />signatories either on the same date or to the same counterpart; <br />provided, however, that the Contract shall not become effective <br />until completely conforming counterparts have been signed by each <br />of the parties hereto and this Contract shall have been approved by <br />the Bankruptcy Court. <br />M. Captions. The captions appearing at the commencement of <br />the sections or paragraphs hereof are descriptive only and for <br />convenience in reference. Should there be any conflict between any <br />such caption and the section or paragraph at the head of which it <br />appears, the section or paragraph and not the caption shall control <br />and govern the construction of this Contract. <br />N. Entire Agreement /Integration. This Contract constitutes <br />the entire agreement of the parties hereto. No representations, <br />promises, terms, prior agreements or proposals, conditions, <br />obligations or warranties whatsoever referring to the subject <br />matters hereof, other than those expressly set forth herein, shall <br />be of any binding legal force or effect whatsoever. No <br />modification, change or alteration of this Contract shall be of any <br />08/13/92(12) <br />- 15 - <br />
