Fee <br />wo R mp (Garfield County, Colorado) <br />ACCORSFAt: al flil i t C.C.ARIl <br />ATLANTIC RICHFIELD COMPANY, acting through its ARCO <br />Coal Company division ( "Seller "), a Delaware corporation, whose <br />address is 555 Seventeenth Street, Denver, Colorado 80202, <br />Attn: Land Department, for and in consideration of ONE HUNDRED <br />DOLLARS ($100.00) and other good and valuable consideration, the <br />receipt and sufficiency of which are hereby acknowledged, hereby <br />grants, bargains, sells and conveys to PUCKETT LAND COMPANY <br />( "Purchaser "), a Colorado corporation, whose address is 7800 East <br />Union Avenue, Suite 130, Denver, Colorado 80237, and their <br />successors and assigns forever, the following real property <br />located in Garfield County, Colorado: <br />a. All of Seller's right, title and interest, in and <br />to the fee, mineral and real property interests, excluding the <br />water rights, if any, in the real property located in Garfield <br />County, Colorado as more specifically described in Exhibit A (the <br />"Properties "); <br />b. All of Seller's right, title and interest in and <br />to the water rights, if any, listed on Tables 1 -4 attached hereto <br />(the "Water Rights "). <br />c. All of Seller's right, title and interest in and <br />to all personal property, buildings and improvements located on <br />and appurtenant to the properties described in Exhibit A (the <br />"Improvements "). <br />The Water Rights and Improvements are sold AS IS, WHERE <br />IS, and Seller makes no warranties or representations of any kind <br />or character, express or implied, including any warranty of <br />title, quality, merchantability or fitness for a particular <br />purpose, including without limitation the condition of the <br />Improvements or their electrical, mechanical, plumbing, <br />structural, roof or any other system, and the title, quantity, <br />quality, priority or right to use the water rights conveyed with <br />the Properties. Further, Seller makes no representations or <br />warranties whatsoever regarding the zoning or other restrictions <br />of any of the Assets or regarding what alternative uses to which <br />the Assets might be put. <br />The Properties are sold AS IS, WHERE IS, and Seller <br />makes no representation or warranty of any kind and character, <br />express or implied as to real property title, except that Seller <br />does warrant title against any claim arising by, through or under <br />Seller as to the real property title to the Properties. <br />
