ASSIGNMENT OF CLAY MINING LEASE <br />THIS ASSIGNMENT OF CLAY MINING LEASE ( "Assignment ") is made as of <br />January 17, 2012 ( "Effective Date "), by and between ROCKY MOUNTAIN RANCH & <br />LAND, LLC, a Colorado limited liability company ( "Assignor "), and SEIFERT <br />ENTERPRISES, LLC, a Colorado limited liability company ( "Assignee "). <br />RECITALS <br />A. Assignor is the landlord under that Clay Mining Lease dated December 1, <br />2009, with The Summit Pressed Brick and Tile Company, a Colorado corporation <br />( "Lessee ") and recorded on December 10, 2009 at Reception #1827273, Pueblo County, <br />Colorado. <br />B. As of the Effective Date, Assignor has sold the real property described on <br />Exhibit A and B to Assignee ( "Property "), which is subject to the Lease. <br />C. Assignee has requested that Assignor assign and transfer the Lease to <br />Assignee, and Assignor has agreed to do so on the terms provided in this Assignment. <br />IN CONSIDERATION of Ten Dollars ($10.00) paid by Assignee to Assignor, and <br />other valuable consideration, the receipt of which is hereby acknowledged, Assignor and <br />Assignee agree as follows: <br />1. Assignment. As of the Effective Date, Assignor hereby assigns and transfers <br />to Assignee all of Assignor's right, title and interest in and to the Lease. Assignor <br />represents and warrants to Assignee that Assignor is the landlord under the Lease and has <br />made no previous assignment of the Lease. <br />2. Assumption. Assignee hereby accepts this Assignment and assumes and <br />agrees to be bound by all the terms of the Lease as from the Effective Date. Assignor <br />hereby indemnifies and holds harmless Assignee from any and all claims, liabilities, costs, <br />and expenses arising out of or in connection with the Lease and Assignor's rights <br />thereunder prior to the Effective Date. <br />3. Rent. Assignee shall be entitled to all rents and income accruing and payable <br />on and after the Effective Date. <br />4. Governing Law. This Assignment shall be governed by and construed in <br />accordance with the laws of the State of Colorado and exclusive venue for any matter <br />arising hereunder shall be in El Paso County, Colorado. <br />5.
