Least (30) days prior written notice of such assignment or reassignment of this Agreement. <br />CC &V or its assignees shall not otherwise assign this Agreement without the express prior <br />written consent of Cripple Creek. Cripple Creek may not assign this Agreement without the <br />prior written consent of CC &V. <br />17. Attorney's Fees. In the event of any dispute between the parties concerning this <br />Agreement or in the event of any action to enforce this Agreement or to collect damages on <br />account of any breach of the obligations provided for herein, the prevailing party shall be entitled <br />to recover from the other party, all costs and expenses, including reasonable attorney's fees, <br />incurred in such litigation as spring as all additional such costs and expenses incurred in <br />enforcing and collecting any judgment rendered in such action. <br />18. Authority. All parties to this Agreement represent that they have the full power <br />and authority to enter into and perform this Agreement. <br />19. Governing Law. This Agreement shall be construed in accordance with the laws <br />of the State of Colorado. Any and all disputes concerning this matter shall be decided in any <br />court of competent jurisdiction for Teller County, Colorado. <br />20. Severability. Unenforceability of any provision contained in this Agreement shall <br />not effect or impair the validity of any other provision of this Agreement, so long as the primary <br />purpose(s) of this Agreement are effectuated by the remaining terms. <br />21. Counterparts. This Agreement may be signed in counterparts. <br />22. Binding Effect. This Agreement shall be binding upon the parties hereto and their <br />successors and assigns. <br />8 <br />
