<br />GENERAL WARRANTY DEED
<br />THIS DEED, effective as of the--_-(5 day of August, 2010, is between Tavistock Partners LLC, a
<br />Colorado Limited Liability Company, as Grantor, and CAM - Colorado LLC, a Delaware Limited Liability
<br />T Company, with an address of 424 Lewis Hargett Circle #250, Lexington, KY 40503, as Grantee.
<br />WITNESSETH, Grantor, for and in consideration of [Redacted]
<br />[Redacted] the receipt and sufficiency of which is hereby acknowledged, does hereby grant,
<br />bargain, sell and convey to Grantee, its heirs and assigns forever, all the real property ( "Property ") together
<br />with improvements, ifany, situate and lying in the County of MESA, State of COLORADO, and which is
<br />described on Exhibit A and Exhibit B attached hereto and incorporated herein by this reference.
<br />TOGETHER with all hereditaments and appurtenances thereto belonging or appertaining, and the
<br />reversion and reversions, remainders, rents, issues and profits thereof, and all the estate, right, title,
<br />interest, claim and demand whatsoever of Grantor in law or equity, in and to the Property, as well as all of
<br />Grantor's right, title and interest in all oil, gas and other hydrocarbons, base and precious metals, all other
<br />minerals and mineral rights, and all sand, gravel and other common materials, together with the rights to
<br />explore for, develop and produce each of those substances.
<br />TOGETHER with all of Grantor's right, title and interest in all easements of record which are appurtenant
<br />to the Property including without limitation those easements evidenced by documents of record in the real
<br />property records of Mesa County, Colorado in Book 3461 at Page 473, and in Book 4981 at Page 844, and
<br />reserving to Grantor the right of non - exclusive use of the above described easements.
<br />TO HAVE AND TO HOLD the Property unto Grantee, its heirs and assigns forever. Grantor, for itself, its
<br />heirs and assigns, warrants that at the time of the signing and delivery of this Deed, Grantor is well seized
<br />of the Property and has full power and lawful authority to convey the Property through this instrument.
<br />Grantor further warrants that the Property is free and clear from all liens, taxes, assessments, encumbrances
<br />and restrictions of whatever kind or nature whatsoever, except as set forth on Exhibit C attached hereto.
<br />GRANTOR shall WARRANT AND FOREVER DEFEND the Property in the quiet and peaceable
<br />possession of Grantee, its heirs and assigns, against every person or persons lawfully claiming the whole or
<br />any part thereof. /I��
