1.10 Repair Period. shall mean that period of time commencing the day after <br />termination of the Repair and Maintenance Period and terminating ten (10) years thereafter. <br />1.11 Temporary Location. shall mean the location for the Temporary Pipeline which is <br />generally described as follows: The pipeline will be routed west across 2650 Road then proceed <br />around the proposed mining area on the Garvey property to the south and west then north along <br />2600 Road to intersect the existing ditch location. If the Nygren and Carver properties are mined, <br />the temporary pipeline would depart from the existing ditch location in the middle of the Carver <br />property the temporary pipeline will travel southeasterly into the Nygren property and continue <br />around the proposed easterly extent of future mining on the Nygren property to the southwest to <br />the southern boundary of the Nygren property. Appropriate piping and takeouts will be provided <br />to each of the affected shareholders. The details being shown on the attached preliminary design <br />drawings. <br />1.12 Temporary Pipeline. shall mean a high- density polyethylene pipeline to replace <br />the relocated portion of the Ditch for the period of approximately December 2011 through 2016 <br />while mining and reclamation activities are being conducted by WFC on the Garvey and Meehan <br />properties. If the Carver and Nygren properties are mined the temporary pipeline would remain <br />through 2020. <br />2. Relocation of Ditch. <br />2.1 Authorization to Relocate. Subject to Section 10 of this Agreement, CCC agrees <br />to and hereby authorizes WFC to relocate the ditch, first into the Temporary Pipeline and, <br />following completion of mining in the area, into the Permanent Pipeline. CCC grants WFC a <br />non - exclusive license to use CCC's maintenance easement to accomplish the relocation of the <br />Ditch in accordance with the terms of this Agreement. <br />2.2 Preparation of Relocation Plan. The Engineer shall complete the design of the <br />Temporary Pipeline and Permanent Pipeline substantially in conformity with the preliminary <br />design drawings attached hereto. The Engineer shall also prepare such plans, specifications and <br />maps as may be necessary to accomplish the Relocation to both the Temporary Pipeline and the <br />Permanent Pipeline, other than a final survey of the location of the permanent Pipeline which <br />shall be forwarded to CCC for review and approval (the "Relocation Plan "). To the extent the <br />parties cannot agree on the final specifications for the Relocation Plan, any disputes shall be <br />resolved in accordance with paragraph 14. <br />2.2.1 The Relocation Plan shall provide for a gravity feed system capable of <br />transporting at least 15 cfs in both the Temporary and Permanent Pipeline. <br />2.2.2 The cost of preparation of the Relocation Plan shall be borne by WFC. <br />2.2.3 As part of the Relocation Plan, the Engineer shall prepare and deliver <br />operation instructions and maintenance schedules for the Permanent Pipeline <br />to CCC. <br />3 <br />
