Grantee accepts the Access Easement Areas "AS -IS" without any representations of Grantor. <br />This Agreement may only be modified or amended upon the mutual consent of the parties <br />hereto. The headings in this Agreement are for convenience only and do not constitute a part of <br />this Agreement and should not be used in construing this Agreement. This Agreement <br />constitutes the entire Agreement between the parties with respect to the subject matter thereof <br />and all prior understandings and agreements, oral or written, concerning the same subject <br />matter, are hereby merged into this Agreement and extinguished hereby. The invalidity or <br />unenforceability of any particular provision of this Agreement shall not affect the other provisions <br />hereof, and this Agreement shall be construed in all respects as if such invalid or unenforceable <br />provisions were omitted. This Agreement may be executed in counterparts, and all counterparts <br />so executed shall constitute one agreement binding on each party hereto, notwithstanding that <br />all parties are not signatory to the same counterpart. <br />[Signature Page Follows.] <br />
