Wright, Jr. and Eagle Minerals, LLC ( "Eagle ")(the "Agreement ") Dear Messrs. Ludwick and Allender: On behalf of he Estate of Ben Wright (the "Estate ") I am writing in response to Mr. Ludwick's unsigned letter of October 17, 2011. The Agreement has terminated by operation of its terms and it has no force and effect. As such, the Estate respectfully declines to meet further with Eagle representatives. Further contrary to your letter, the Estate previously notified Eagle Minerals of taxes and fees owed — including on May 17, 2010 and the Notice of Default on September 13, 2011. A copy of the Estate's correspondence with Mr. Allender on May 17, 2010 is attached. With the termination of the Agreement, Eagle and its assigns no longer have a lawful right to enter upon properties formerly subject to the Agreement and shall cease all further entry on such lands. Please notify the Estate if Eagle needs to make prompt arrangements to remove any equipment or materials currently in place. We also request that Eagle immediately notify the Colorado Division of Reclamation, Mining and Safety of Eagle's withdrawal of its Notice of Intent to Conduct Prospecting — NOI File No. P- 2011 -029.
