Six Hundred Forty Nine Dollars ($2,114,649.00) and Permit Number C-96-084 (Lorencito
<br />Reclamatian Bond) in the amount of One Million Zwo hundred Forty Dollars ($1,000,240.D0);
<br />however, notwithstanding Lessee's replacement of the Bonds, Lessor shall remain fully
<br />responsible for all reclamation claims under Permit C-96-064.
<br />Likewise, Lessor covenants and agrees to indemnify, defend and save Lessee, its
<br />shareholders, officers, directors, employees and affiliates harmless from all costs, expenses,
<br />damages, fees, liabilities, obligations, penalties, charges, disbursements in relation to the
<br />Lorencito Reclamation Bond.
<br />8. Books and Records: Inspections.
<br />(A) Lessee shall keep true and accurate records of all coal removed, stored,
<br />handled, processed or loaded, Together with correct tonnage weights, names and addresses of
<br />the coal purchasers, and tons stored, handled, processed or loaded for each respective coal
<br />purchaser for the New Etk Facility. Lessor, its officers, employees, engineers, accountants,
<br />attorneys and consultants shall have the right to inspect and copy at all reasonable Imes said
<br />. books and records of Lessee pertaining to the Rental Report(s) and for any other reasonable
<br />purpose in connection therewith. In addition, Lessor, its officers, empbyees, engineers,
<br />accountants, attorneys and consultants shall have the right to enter the New Elk Facility at all
<br />reasonable times to inspect the Facility and operations hereunder.
<br />(B) Lessee covenants and agrees to maintain, until five (5) years after the
<br />date of termination of this Agreement, all books, records and data concerning the storing,
<br />handling, processing, loading, shipping and selling of coal from the New Elk Facility.
<br />9. Indemn~cation. Lessee covenants and agrees to indemnify, defend and save
<br />Lessor, its shareholders, officers, directors, employees and affiliates harmless from all costs,
<br />expenses, damages, fees, liabilities, obligations, penalties, charges, disbursements and claims of
<br />other parties, both direct and indirect (including, without limitation, reasonable attorneys' fees and
<br />court costs), which arise out of or are asserted, either in whole or in part, direcHy or indirectly,
<br />because of (I) any act or omission by Lessee or its contractors, employees, agents or
