MESA COUNTY, COLORADO <br />SANITARY SEWER LIFT STATION EASEMENT AND AGREEMENT <br />This Sanitary Sewer Lift Station Easement and Agreement is made this 26 day of October, 2010 by <br />and between WHITEWATER BUILDING MATERIALS CORPORATION, a Colorado Corporation, <br />whose legal address is P.O. Box 1769, Grand Junction, Co 81502 (Grantor herein) and the MESA <br />COUNTY WHITE WATER PUBLIC IMPROVEMENT DISTRICT, State of Colorado, whose legal <br />address is P.O. Box 20,000, Grand Junction, Colorado 81502,(Grantee herein). <br />In exchange for and in consideration of $6,834.00 , the receipt and sufficiency of which is hereby <br />acknowledged, Grantor hereby grants and conveys to Grantee and its successors and assigns, this perpetual <br />easement for the construction, installation, operation, maintenance, repair and replacement of a sanitary <br />sewer lift station andappurtenances related thereto, together with the right of ingress and egress for workers <br />and equipment, on, along, over, under, through and across certain real property located in the Northwest <br />Quarter (NW'%) of Section 15, Township 2 South Range 1 East of the Ute Meridian, Mesa County, State of <br />Colorado. The Easement area granted herein is more particularly described on Exhibit "A" and depicted on <br />Exhibit `B," both attached hereto and by their reference incorporated herein. <br />This easement includes the right of the Grantee, its successors, permittees, licensees and assigns and <br />its and their agents and employees to enter upon the land described on Exhibit "A" at all times using the <br />existing gravel road located within the described area. Grantee .w ill maintain said access/driveway town all <br />weather gravel surface standard. With mutual agreement by the Parties, said location of access /driveway <br />could be modified and/or relocated. <br />Grantee has the right to remove objects inside or outside of the described area that are, in the opinion <br />of the Grantee, interfering or threaten to interfere with or be hazardous to the construction, operation and <br />maintenance of the sanitary sewer lift station. <br />Grantee shall be permitted, at their sole expense, to fence the lift station area withasix foot (6') tall <br />chain link fence in an effort to protect the lift station from livestock and trespassers. <br />Grantee will install one 12" PVC drainage pipe within the easement area and connect it to an existing <br />pipe previously installed by Grantor. Said pipe shall extend just south of the easement boundary to an <br />existing open drain ditch. <br />The Parties agree the existing access gate will be closed and locked when the area is not in use and <br />each party shall have their own key and lock. <br />Grantee shall be solely responsible for the installation, maintenance and payment for all utilities <br />needed and used to operate the lift station. <br />Grantee shall be permitted to remove portions of Grantor's existing concrete block wall that runs <br />adjacent to the existing road for purposes of installing said drainage pipe. Grantee shall be required to <br />replace any removed or damaged wall at Grantee's sole expense to its original condition or better. <br />Grantee agrees the work and act of constructing, installing, maintaining, repairing and if necessary, <br />the removal of, the lift station and related appurtenances shall be performed with due care using commonly <br />accepted standards and techniques, taking precautions for the protection of persons and property.
