<br />THIS SPECIAL WARRANTY DEED is made and entered as of the l day of
<br />November, 2005, by and among LAFARGE WEST, INC., a Delaware corporation, the
<br />address of which, for purposes of this Deed, is 10170 Church Ranch Way, Suite 200,
<br />Westminster, Colorado 80021 ( "Grantor "), and THE CITY OF GREELEY,
<br />COLORADO, a Colorado home rule municipal corporation, as to an undivided fifty
<br />percent (50 %) interest, the address of which, for purposes of this Deed, is 1100 10
<br />Street, 3 Floor, Greeley, Colorado 80631; and FORT COLLINS- LOVELAND WATER
<br />DISTRICT, a quasi - municipal corporation and a political subdivision of the State of
<br />Colorado, as to an undivided twenty -one percent (21%) interest; NORTH WELD
<br />COUNTY WATER DISTRICT, a quasi - municipal corporation and a political subdivision
<br />of the State of Colorado, as to an undivided sixteen and five /tenths percent (16.5 %)
<br />interest; and EAST LARIMER COUNTY WATER DISTRICT, a quasi- municipal
<br />corporation and a political subdivision of the State of Colorado, as to an undivided twelve
<br />and five /tenths percent (12.5 %) interest, the address of which, for purposes of this Deed,
<br />is do Soldier Canyon Filter Plant, 4424 LaPorte Avenue, Fort Collins, Colorado 80521
<br />(collectively, "Grantees ").

<br />That the Grantor, for and in consideration of the sum of
<br />and other good and
<br />valuable consideration, the receipt and sufficiency of which are hereby acknowledged, has
<br />granted, bargained, sold and conveyed, and by these presents does hereby grant, bargain,
<br />sell, convey and confirm unto the Grantees, their successors and assigns, forever, all the real
<br />property, together with improvements, if any, situate, lying, and being in the County of
<br />Larimer, State of Colorado, legally described on Exhibit "A" attached hereto and
<br />incorporated herein by reference ( "Land ").
<br />TOGETHER with all and singular the hereditaments and appurtenances thereto
<br />belonging, or in anywise appertaining, and the reversion and reversions, remainder and
<br />remainders, rents, issues and profits thereof, and all the estate, right, title, interest, claim and
<br />demand whatsoever of the Grantor, either in law or equity, of, in and to the Land, with the
<br />hereditaments and appurtenances.
