Pineda <br />Director <br />I have reviewed the document provided by Terror Creek LLC regarding the status of control of Oxbow Carbon <br />& Minerals Holdings, Inc. (a parent corporation of Terror Creek LLC) by Crestview -Oxbow Acquisition LLC <br />(Crestview). Terror Creek LLC provided a certification of a Board Resolution stating that Crestview -Oxbow <br />Acquisition, LLC cannot commit the financial or real property assets or working resources of Terror Creek, LLC, <br />and further resolving that Crestview does not control any of the Terror Creek loadout's operations. The <br />documentation provided by Terror Creek LLC does, in my opinion, demonstrate that Crestview -Oxbow <br />Acquisition LLC is not a controller, as defined by Rule 1.04(83a)(b), of Oxbow- Carbon & Minerals Holding, Inc. <br />As such, the information required under Rule 2.03.4(3) will not be required for Crestview. <br />I ran an AVS check again; there are two violations listed, but the AVS report indicates that the violations have <br />been resolved under settlement agreement (Pittston).
