MEMORANDUM OF MINING LEASE AND AMENDMENT • • <br />'Ibis Memorandum of Mining Lease' and Amendment <br />C`Men►orandum''iis an abstract of <br />that certain MINING LEASE dated effective June 1, 2006 and that certain AMENDMENT AND <br />ItATIFICATION'OF IvMININO LEASE dated effective kite 1; 2006 . (collectively, "Mining <br />Lease"),. entered into between FAIRVIEW LAND CORP., a Colorado 'corporation, whoa* <br />principal office address is 3060 Brighton Boulevard, Denver, Colorado 80216 ( "Fairview and <br />WILDCAT MINING CORPORATION, a Nevada re <br />. 3643 Baker Street, San Diego, California 92117 ("Wildcat") corporation, whose <br />"Parties"). The <br />_Mining Lease covers and affects real property interests in LaPlata County, Colorado, more <br />particularly described as: <br />C'Subject Lands ") <br />The purpose of this Memorandum is to provide the public with record notice, pursuant to <br />Colorado recording laws, of the Mining Lease covering the Subject Lands and the existence of <br />agreements, promises, terms, and conditions pursuant thereto between Fairview and Wildcat. <br />Fairview and Wildcat have entered into the Mining Lease for the purposes of exploring, <br />.prospecting for, developing, mining and marketing ore; materials, and minerals of all kinds from <br />the Subject Lands. The primary tart of the Mining Lease is for 10 years, and so long thereafter <br />as mining, production, air &or development are being continuous b <br />ng conducted on a continuou <br />• The Mining Lease contains provisions governing: 1i) the lea4hig'of real property rights <br />held by Fairview; (ii) the possession of the Subject Lands; (ii) rights of ingress and egress to the <br />Subject Lands; (iv) the performance of mining work on the Subject Lands; (v) royeltles payable <br />from the production of minerals from the Subject Lands; (vi) surface use provisions concerning • <br />the Subject Lands; (vii) the es of a Mutual Area of Interest regarding the Subject <br />Lands; (viii) the payment of real property, personal property, and ad valorem taxes assessable to <br />the Subject Lands; and (ix) other terms; conditions, and provisions touching and affecting the <br />Subject Lands. The Mining Lease contains the full terms, conditions, and provisions other than <br />those stated herein.
