WARRANTY DEED (Eagle Park Reservoir) This General Warranty Deed, date /l, 1998, is from Climax Molybdenum Company, a Delaware corporation ("Climax") to Eagle Park Reservoir Company, a Colorado mutual ditch and reservoir company whose address is 846 Forest Road, Vail, Colorado 81657 (the "Reservoir Company"). For good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Climax hereby sells and conveys to the Reservoir Company the real property located in Eagle County, Colorado described on Schedule 1 attached hereto, with all appurtenances and rights of ingress and egress thereto over and across East Fork Eagle River Road aka County Road No. 714 more particularly described on the attached Schedule 2, and warrants title to the same, free and clear of all liens and encumbrances excepting those matters of record, if any. The use of the real property conveyed herein shall be limited to water collection, storage and delivery, and all purposes related thereto. Reserving, however, unto Climax, its successors and assigns, the following perpetual, nonexclusive easements across the real property conveyed herein: (i) a pipeline from the Dam 4 Seepage Pumpback facility; (ii) the nonexclusive use of the road that runs to and across the dam for Eagle Park Reservoir; (iii) a power line to and across the dam for Eagle Park Reservoir; and (iv) a power line that will run to the East Fork Pumpback Facility, all as more particularly described on the attached Schedule 3. To have and to hold the same unto the Reservoir Company, its successors and assigns, forever. Executed *as of the date first set forth above.
