or unenforceable in any jurisdiction, the remaining provisions of this Agreement will remain in <br />full force and effect as if it had never contained such illegal, invalid, or unenforceable provision. <br />If necessary to the effect the intent of the Parties, the Parties will negotiate in good faith to <br />amend this Agreement to replace the illegal, invalid or unenforceable language with legal, valid <br />and enforceable language which as closely as possible reflects such intent. <br />g. Document Use, Inspection, and Retention. Skanska specifically agrees that the <br />information assembled pursuant to this Agreement is for the use of the District. Skanska may <br />retain reproducible copies of all documents prepared by Skanska, but such documents may be <br />used by Skanska only in accordance with specific written instruction from the District. Skanska <br />agrees that all documents and other records assembled by Skanska during the term of this <br />Agreement shall be the work product and property of the District. All such documents and <br />copies thereof shall be given to the District, and at no time shall Skanska reveal such documents <br />or the information contained therein to a third party without the express written permission of the <br />District. <br />h. Governing Law. This Agreement shall be governed and construed in accordance <br />with the laws of the State of Colorado, without regard to principles of conflict or choice of laws. <br />i. Attorney Fees. In the event this Agreement becomes the subject of a dispute, the <br />prevailing party shall be entitled to the reasonable attorney fees and costs it incurs. <br />j. Joint Drafting. This Agreement is the product of the joint negotiations by the <br />Parties and constitutes the joint drafting of all Parties hereto. It should not be construed more <br />liberally towards any Party. <br />k. Mediation. Should any dispute occur between the Parties arising out of or related <br />to this agreement, or their rights and responsibilities to each other, the matter shall be settled and <br />determined by submitting the matter to mediation before a mediator mutually agreed-upon by the <br />Parties. Costs of mediation shall be equally borne by both Parties. In the event that the Parties <br />do not reach settlement through mediation, then the matter may be filed with the La Plata County <br />District Court in Durango, Colorado. <br />1. Notices. Any notices provided for in this Agreement shall be deemed received <br />when mailed by Certified Mail, Return Receipt Requested or delivered in person to the Party <br />receiving the notice. Any such notices shall be delivered to a Party at the following address, <br />unless such Party notifies the remaining Parties of a different address to use for such notices: <br />6
