EXHIBIT A -LEGAL DESCRIPTION <br />Noland, Inc. land: All of the West Half (W %) of Section 36 north of SH-160 (as now constructed), Township 36 <br />North, Range 14 West, N.M. (10th) P.M., Montezuma County, Colorado, a portion of county parcel number 5607- <br />362-0003. <br />Together with all ditch and ditch rights, water and water rights located thereupon, including the right to use of 90 <br />acre-feet of Jackson Reservoir water, together with 1/6 interest in the Boss Ditch, and all interest in 1-3/8 cubic <br />feet of water per second of time : in said Boss Ditch under Priority No. 22, Stream Priority No. M 21 taking water <br />from the Rio Mancos, Water District No. 34, per decrees of adjudication dated April 28, 1893 and December 18, <br />1933, and all interest in 1-1/3 cubic feet of water per second of time in the Sheek Extension of the Sheek Ditch, <br />Priority No. 36, Stream Priority No. 36, taking water from the Rio Mancos, Water District No. 34., per decrees of <br />adjudication dated April 28, 1893 and December 18, 1933. <br />FURTHER TOGETHER WITH all of Grantor's oil, gas, C02, coal and minerals, if any. <br />SUBJECT TO THE FOLLOWING: <br />Title to all rights to any and all minerals, ores and metals of every kind and character and all <br />coal, asphaltium, oil and other like substances in and under said land the right of ingress and <br />egress for the purpose of mining, together with enough of the surface of same as may be <br />necessary for the proper and convenient working of such minerals and substances as <br />reserved to the State of Colorado in Patents recorded in Book 116 at pages 387 and 388, and <br />all leases, assignments and easements with respect thereto. <br />Right of way to Highland Utilities Co. as recorded in Book 106 at page 106. <br />Right of way to Montezuma Water Co. as recorded in Book 382 at page 238. <br />Deed to Electric Empire Association, Inc. recorded May 19, 1947 as Reception No. 121466. <br />Grantor does not warrant the existence of any right of access to the limited access highway <br />adjoining the subject property. <br />The permit area as originally established in the above parcel is described as follows: <br />Starting at the South West corner of Section 36, 561 feet East along the South line of Section <br />36, thence North Easterly, 200 feet paralleling the West boundary of Section 36 to a point of <br />beginning, thence continuing North Easterly 3,120 feet, thence Easterly 858 feet thence South <br />Westernly 3,120 feet to the South East corner, which is 200 feet from the State Highway 160 <br />right-of-way fence, thence Westerly 858 feet to the point of beginning. (Sixty acres, more or <br />less) The original permit area is contiguous with the proposed affected area. <br />The proposed permit area including this amendment, is the above parcel, of approximately in the above <br />parcel is described as follows: <br />Starting at a point of beginning 561 feet S880E and 200 feet N21E of the South West corner of <br />Section 36, thence 662 feet S880E, thence 1378 feet N580E, thence 1200 feet N20E, thence <br />200 feet S880E, thence 1975 feet N20E, thence 1150 feet N880W, thence 4036 feet S140W to <br />the point of beginning, approximately 123 acres more or less.
