d. Landlord, by and through its Manager, have full authority to permit and lease the premises to <br />Tenant and permit Tenant to remove, sell and mine said materials from the premises, <br />C. The premises are presently zoned to permit Tenant's activities, as described herein, with a special <br />use permit from Grand County government, and <br />f. The Landlord shall take no action which results in a zoning classification which may adversely <br />impact Tenant's intended operations, pursuant to this agreement. <br />g. The above warranties shall continue throughout the term of this Lease Agreement. <br />13. Tenant covenants and warrants the following. <br />a. Tenants shall, at Tenant's expense, keep and maintain in full force and effect any and all applicable <br />permits necessary for Tenant's operations permitted herein. <br />b. Tenants shall operate the operations permitted herein, in a lawful manner. <br />C. The above warranties shall continue throughout the term of this Lease Agreement. <br />14. Landlord, upon request of Tenant, shall furnish Tenant copies of any abstracts, title insurance, permits, <br />deeds or other evidence of title/ownership as may be in Landlord's possession and control relating to this Lease <br />Agreement. <br />15. Notwithstanding any provision herein to the contrary, Tenant may, upon sixty days (60) days written notice <br />to Landlord, cancel and terminate this Lease Agreement upon the occurrence of any of the following events: <br />a. Tenant has determined that materials can no longer be profitably quarried, mined and removed <br />from the premises; <br />b. Grand County, State of Colorado, or any other applicable government agency fails to initially issue <br />any permit or authority to perform the operations agreed to herein; <br />C. Grand County, State of Colorado, or any other applicable government agency terminates, <br />withdraws or fails to renew any permit or authority to perform the operations agreed to herein; <br />d. Grand County, State of Colorado, or any other applicable government agency issues a cease and <br />desist order upon Tenant, which results in Tenant's inability to operate as agreed to herein. <br />e. The Premises is not zoned for Tenant's operations or the zoning changes in such a manner as to not <br />permit Tenant's operations permitted herein. <br />f. Any other reason which results in Tenant being unable to continue Tenant's operations on the <br />Premises as set forth herein. <br />16. Tenant shall not allow any mechanic's liens to be placed or filed upon the Premises, related to <br />improvements constructed pursuant to Tenant's possession of the Premises. <br />17. Tenant shall maintain the premises in a clean and orderly appearance at all times. <br />is. Tenant may assign or sublet any portion of all of the Premises to another, upon written notice to Landlord. <br />j'
