<br />This QUIT CLAIM DEED, dated February 6, 2009 between:
<br />Red Tail XP, LLC, PO Box 1974, 2268 County Rd. 281, Idaho Springs, Clear Creek County, CO 80452, GRANTOR, and
<br />Venture Resources, Inc., PO Box 1974, 2268 County Rd. 281, Idaho Springs, Clear Creek County, CO 80452, GRANTEE.
<br />(Deed of Convenience)
<br />WITNESS, that the GRANTOR, for and in consideration of the sum of Ten Dollars ($10.00) the receipt and sufficiency of
<br />which is hereby acknowledged, has remised, released, sold and QUIT CLAIMED, and by these presents does remise,
<br />release, sell and QUIT CLAIM unto the GRANTEE its heirs, successors and assigns forever, all the right, title, interest,
<br />claim and demand which the GRANTOR has in the real property, together with any improvements, if any, situate, lying
<br />and being in the County of Clear Creek and the State of Colorado described as follows:
<br />Parcel A: SURFACE RIGHTS ONLY to the Jenny Lind No 2 mining claim US Mineral Survey # 17844 and (2) tracts
<br />adjacent as per Combined Lot Agreement CLA2008-0005 at Book 796 Page 79
<br />Parcel B: SURFACE RIGHTS ONLY to the Lillian K Lode mining claim US Mineral Survey # 12769 and tract adjacent
<br />as per Combined Lot Agreement CLA2008-0010 at Book 796 Page 90
<br />TOGETHER with all and singular the hereditaments and appurtenances thereto belonging, or in anywise appertaining, and
<br />the reversion and reversions, remainder and remainders, rents, issues and profits thereof, and all the estate, right, title,
<br />interest, claim and demand whatsoever of the GRANTOR, either in law or equity, of, in and to the above bargained
<br />premises, with the hereditaments and appurtenances.
<br />TO HAVE AND TO HOLD the said premises above bargained and described, with the appurtenances, unto the
<br />GRANTEE, its heirs and assigns forever. And the GRANTOR, for himself, his heirs, and personal representatives, does
<br />covenant, grant, bargain, and agree to and with the GRANTEE, its heirs and assigns, that at the time of the ensealing and
<br />delivery of these presents, he is well seized of the premises above conveyed, except reservations and rights-of-way of
<br />record.
<br />IN WITNESS WHEREOF, the GRANTOR has executed this DEED on the date set forth above.
