The <br />acquisition was consummated pursuant to that certain Membership Interest Purchase Agreement <br />dated March 11, 2009 among Cedars, Bowie, Colorado Holding Company, Inc. and Energy Coal <br />Resources, Inc. <br />Cedars' acquisition was further evidenced by the execution and delivery of a membership <br />interest certificate, a copy of which is attached hereto.
