Grantor and Grantee each agree to execute such documents and take such actions as
the other may reasonably request which are necessary to effectuate the intent of this
Assignment.
This Quitclaim Deed does not apply to any right to refunds or liability for the federal
Black Lung Excise Tax paid or due on any coal sold by Grantor prior to the date hereof;
and said rights to refunds and liability shall remain with Grantor. Any right to refunds
or liability for the federal Black Lung Excise Tax paid or due on coal sold after the date
hereof shall be the right or responsibility of Grantee. As was the case prior to this
Quitclaim Deed, Grantee shall remain responsible for payment of all abandoned mine
land reclamation fees associated with its past and future mining activities. Any and
all rights to refunds or liability for any production royalty paid or due on any coal mined
(past, present or future) from land covered by this Quitclaim Deed are hereby assigned
to and assumed by Grantee.
IN WITNESS WHEREOF, Grantor has executed this Quitclaim Deed effective as of the
date first above written.
