<br /> <br /> <br />NON-INTERFERENCE AGREEMENT <br />This Non Interference Agreement (this "Agr+eemenf), dated February 20, 2009, is by and <br />between Pioneer Natural Resources USA, Inc. ("Pioneer'l and Robinson Sons, Inc. ("Operator"). <br />Each of Pioneer and Operator are referred to from time to time herein individually as a "Party" <br />and collectively, as the "Parties" <br />A. Operator is applying for a permit for a gravel pit to be designated the Robinson Sons <br />(travel Pit #1 (the "Gravel Pit'j in Las Animas County, Colorado in the area within the thick red <br />line on the map set forth as Exhibit "A" attached hereto. <br />Pit. <br />B. Pioneer operates oil and gas wells and associated facilities in the area of the Gravel <br />C. Rule 6A.19 of the Mineral Rules and Regulations of the Colorado Mined Land <br />Reclamation Board for the Extraction of Construction Materials (the "NLRB') requires an <br />agreement regarding compensation for damages when a mining operation will adversely affect <br />the stability of man-made structures located within 200 feet of the affected land. <br />D. This Agreement is entered into in satisfaction of the requirements of the above <br />referenced rule. <br />Amy-went <br />In consideration of the mutual promises set forth herein and other good and valuable <br />consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as <br />follows: <br />1. For so long as this Agreement is in effect and Operator is not in material breach <br />hereof, Pioneer consents to normal gravel mining activities within the permit boundary line as <br />depicted on Exhibit A hereto. <br />2. Operator agrees to the following restrictions on its and its contractors', <br />subcontractors' and agents' activities in the S/2 of Section 26, Township 33 South, Range 67 <br />West, 6" P.M., Las Animas County, Colorado (the "Area of Interest"): <br />(a) No operations shall be conducted within 30 feet of any water or natural <br />gas pipeline or buried electric line and any operations near such lines shall be conducted in <br />accordance with Exhibit "B" hereto. No operations shall be conducted within 150 feet of any <br />well or any other structure owned or operated by Pioneer within the Area of Interest;
