Unanimous Written Consent Concerning Legal Right to Enter Made By The Members of Aggregate Investments LLC' And the Partners of Sprat-Platte Ranch Co., LLLP The undersigned Boral Construction Materials LLC, a Delaware limited liability company ("Boral"), is the sole member of Aggregate Investments LLC, a Colorado limited liability company ("Aggregate Investments"). The undersigned Ready Mixed Concrete Company, a Colorado corporation ("RMCC" ), is one of two partners of Sprat- Platte Ranch Co., LLLP, a Colorado limited liability limited partnership ("Sprat-Platte") with Boral being the other partner of Sprat-Platte. Whereas Boral as the sole member of Aggregate Investments and acting by unanimous written consent wants to grant RMCC the legal right to enter properties owned by Aggregate Investments for the purpose of mining and reclaiming said properties; and Whereas Boral and RMCC acting by unanimous written consent as the two partners of Sprat-Platte want to grant RMCC the legal right to enter properties owned by Sprat-Platte for the purpose of mining and reclaiming said properties; Now, therefore, the undersigned hereby adopt the following resolution: RESOLVED: RMCC is hereby authorized to enter any and all real property owned or controlled by Aggregate Investments and Sprat-Platte for the purpose of mining and reclaiming said real property, and for the purpose of undertaking all acts necessary or related to such mining and reclamation, which properties shall include, but not be limited to, the real property known as "Ready Mix Pit No. 1" (aka, the Frei Pit) owned by Aggregate Investments and the real property known as "Arends" owned by Sprat-Platte, which are situated in the County of Adams, State of Colorado.
