CONTRACT ADDENDUM <br />THIS CONTRACT ADDENDUM is made this 11 `4 day of September, <br />2007, by and between Continental Materials, Corporation ("CM"), a Delaware <br />corporation authorized to do business in Colorado, and the Johnson Family Trust, by Carl <br />F. and Virginia E. Tucker Johnson, Trustees, (collectively, "the Johnsons"), and is <br />intended to amend the agreement between the parties signed on December <br />2006 ("Agreement"). <br />Recital <br />A. CM and the Johnson entered into an Agreement to exchange properties <br />identified in that Agreement, with a closing date for the property exchange to be not later <br />than October 15, 2007, <br />B. The parties have determined that this closing date is not practical, and for <br />good and valuable consideration, the sufficiency of which is agreed upon by the parties, <br />they have agreed to change the closing date by amending paragraph 5 of said Agreement. <br />Amendment <br />1. The parties agree that paragraph 5 of said Agreement is to be deleted and <br />replaced by the following new paragraph 5: <br />"5. Closing. Provided the contingencies recited herein are accomplished, <br />closing shall occur at a time and place mutually agreeable to the parties within 30 days <br />after approval in. 2a, but not later than October 15, 2008." <br />2.
