the Resource Conservation and Recovery Act of 1976, as amended, the Safe Drinking
<br />Water Act, as amended, the Toxic Substance and Control Act, as amended, the Superfund
<br />Amendments and Reauthorization Act of 1986, as amended, the Hazardous and the Solid
<br />Waste Amendments Act of 1984, as amended, and the Oil Pollution Act of 1990, as
<br />amended.
<br />"Hazardous Materials" shall mean: (a) any chemicals, materials or substances
<br />defined or included in the definition of "hazardous substances," "hazardous materials,"
<br />"toxic substances," "solid wastes," "pollutants," "contaminants," or words of similar
<br />import, under any Environmental Law, or (b) any radioactive materials, friable asbestos,
<br />and polychlorinated biphenyls, or (c) any petroleum, including spills or Releases of
<br />petroleum products.
<br />"Laws" means laws, statutes, ordinances, permits, decrees, orders, judgments, males
<br />or regulations (including without limitation Environmental Laws) which are promulgated,
<br />issued or enacted by a governmental entity or tribal authority having appropriate
<br />jurisdiction and which are effective as of the date of this Agreement.
<br />"P_ arty" means the Buyer or Seller.
<br />"Permitted Encumbrances" means:
<br />(a) All lights to consent by, required notices to, filings with, or other
<br />actions by governmental entities or tribal authorities in connection
<br />with the sale or conveyance of the Properties, if the same are
<br />ministerial in nature and customarily obtained either prior to or
<br />subsequent to the transfer of title;
<br />(b) Rights reserved to or vested in any governmental entity or tribal
<br />authority having appropriate jurisdiction to control or regulate the
<br />Properties in any manner whatsoever, and all Laws now or hereafter
<br />imposed by any such governmental entity or tribal authority;
<br />(c) Easements, rights-of-way, servitudes, surface leases, sub-surface
<br />leases, grazing rights, logging lights, canals, ditches, reservoirs,
<br />pipelines, utility lines, telephone lines, power lines, railways, streets,
<br />roads, alleys, highways and structures on, over and through the
<br />Properties, to the extent such rights, interests or structures do not,
<br />individually or in the aggregate, materially interfere with the
<br />operation of the Properties in the manner historically operated;
<br />(d) The terms and conditions of the leases, agreements, instruments and
<br />other items identified in Exhibit B;
