PERMISSION TO CONDUCT STUDIES AGREEMENT <br />In consideration of the sum of Five Hundred Dollars ($500.00), and other good and valuable <br />consideration, Thomas M. and Peggy Jo Meehan ("Owners') hereby grant to Western Fuels-Colorado, <br />L.L..C.,, ("WFC") the right to enter the property described as being the S2NW4 of Section 25, Township <br />47 North Range16 West, NMPM, Montrose County, Colorado (the "Property") for the limited purposes <br />of conducting environmental and cultural studies (`Baseline Studies') in anticipation of Owners and <br />WFC entering into one or more agreements regarding the mining of the Property for coal,. Owners and <br />WFC expressly agree that, subsequent to the execution of this agreement, there is no obligation upon <br />either party to enter into the anticipated agreements regarding the mining of the Property for coal.. <br />The Term of this agreement shall be for three (3) years.. In the event that WF'C needs additional time to <br />complete the Baseline Studies then Owners and WFC shall negotiate in good faith on the length of the <br />additional tern and the compensation due Owners. <br />WFC shall provided to Owners copies of all non-interpretative results of the Baseline Studies when <br />within a reasonable amount of time after the results become available to WF'C. <br />In the event WFC damages the Property by exercise of its rights granted herein then WFC shall promptly, <br />subject to seasonal conditions, restore the Property as near as practicable to the condition existing before <br />the damage„ Damage or loss of improvements or personal property of Owners located on the Property, <br />including fences, crops, livestock and other personal properly, occurring hereunder resulting from the <br />failure to exercise due care by WFC shall be paid for or repaired at the expense of WFC. <br />Owner shall retain the right to cultivate, graze, use, occupy and have access to and across the Property for <br />any purposes which will not interfere with any of the rights and privileges of WFC herein. <br />Each party hereby indemnifies and agrees to hold the other party harmless from and against any liability <br />arising fivm personal injury, death or property damage when such is caused by a party's ad-eons on the <br />Property- <br />Dated effective this 3 fih day of __MO" 2008. <br />--- <br />Thomas M..
