SEVENTH: The Articles of Incorporation may be amended,
altered or repealed, or have added thereto additional provisions
from time to time as may then be permitted by the laws of the State
of Wyoming.
These Amended and Restated Articles of Incorporation correctly
set forth the provisions of the Articles of Incorporation as
amended, and supersede the original Articles of Incorporation and
all amendments thereto. The sole voting group of shares of the
corporation is the common capital stock of the corporation, of
which 18,000 shares are presently outstanding and entitled to vote.
Upon notice to all voting shareholders in accordance with the
Wyoming Business Corporation Act, the shareholders of the
corporation unanimously adopted and approved the a Amended and
Restated Articles of Incorporation on November, 1994, as is
evidenced by written consents signed by all of the shareholders in
accordance with Wyo. Stat. § 17-16-704.
