Y <br />Board Meeting <br />Landmark Reclamation, Inc. <br />June 3, 1999 <br />Attendees: <br />Rick Randall Jeff Croll Todd Williams <br />I) The meeting was called to order at 6:00 p.m. <br />II) Approval of the last meeting minutes: <br />A) Jeff Kahler motioned to approve the minutes with the date amended. Jeff Croll <br />seconded the motion and all were in favor. <br />III) Roll up deal. <br />A) Deal appears to be going ahead at $32 million without the maintenance. Closing <br />August 15. <br />B) We've received a verbal offer worth $5 million for maintenance. ChemLawn could <br />pay cash. Could be done within 60 days. <br />C) Jody Randall made a motion to separate the companies and seek alterative <br />management for the maintenance divisions. Todd Williams seconded the motion and all <br />were in favor. <br />IV) Financial: Jeff Kahler <br />A) Cash position is good. <br />B) Receivables need to pick up. <br />C) Important for the deal that we are very accurate with May's numbers. <br />V) Work on hand: Eric R.eger <br />A) Showed a total back-log of $45,686,790 which would project $58,960,000. In total <br />value for 1999 if we pick up no more work. <br />B) $6,336,000 already booked for 2000. <br />VI) Organics: <br />A) CCL: <br />1) Ken lias. turned things around. <br />2) Should make money if we can increase the revenue. <br />B) ORS: Still going fine. <br />VII) Dave Wolkenhauer resigned as Assistant Secretary/Treasurer. We need to replace him. <br />A) Dave Burnley nominated Dennis Winkler for the position of Assistant <br />Secretary/Treasurer for Contra Costa Landscaping, Inc. Jeff Kahler seconded.
