9) Pamela Randall moves table the discussion regarding the buy/sell agreement until ZZ <br />after we are done with Stuart Cameron's and Dan Almond's payout. This motion was <br />seconded by Jody and then unanimously agreed upon. <br />IXV) E.S.O.P.: <br />A) Eric Reger and Rick are currently the E.S.O.P. trustees with complete help from Mike <br />Sczekan. <br />B) E.S.O.P. laws require that we expand our trustees to three. Jody Randall motioned that we <br />elect Randy Maher as the third trustee for the E.S.O.P. Rick seconded the motion and all are in <br />favor. Randy Maher has agreed to fill the position. <br />XVII) Organization: <br />A) By acclamation we voted in the new officers this year. Eric Reger said he would consider <br />being vice president of landscape services and will let us know. <br />B) Discussion was had regarding our rights and obligations to our titles... As vice presidents we <br />have agency relationships and fiduciary duties that we will be held accountable for. Remember <br />everything you sign on behalf of the company not only puts the company on the line but also you <br />personally. <br />C) Discussions were had regarding the vision of company and our current management. <br />1) Utah needs to hire an extremely efficient office person to relieve Robin Ralphs of <br />some of his duties. <br />2) Industry Trends: Rick has had some discussion with people recently and believes that <br />things are looking good for a long term run on the economy. Eric Reger sees the cyclical <br />system and doesn't want to see us eaten up by a crashing economy. <br />3) For the purchase of Contra Costa we will finance it through the bank and pay the <br />payments with E.S.O.P. contributions. This will allow us to pay for the purchase with <br />tax free dollars. <br />4) Social Security INS situation: Stetner-Miller (our attorneys) said that we should <br />proceed with the instruction by the INS which is to fill out an SS5 form that is a <br />reissuance of the social security number for everyone on the list. By then it will be <br />November so it shouldn't hit us too hard. We will run a check on the social security <br />numbers annually. <br />5) Discussion was made to use discretion when more than one officer is flying in Rick's <br />small plane or eating at Burger King. <br />6) A motion was made by Eric Reger to keep everyone informed through interoffice and <br />e-mail regarding board issues between board meetings. Seconded by everyone and <br />agreed upon by all. <br />7) Rick motioned to adopt the salaries of the officers of each company as Randy Maher <br />sees fit to set them. This was seconded by Jody . This was unanimously so moved. <br />8) Rick made a motion to approve Rick's salary from both RBI and RBI Golf. The total <br />is the sum $200,000 annually. This motion was seconded by Randy Maher and approved <br />by all. <br />- Board Minutes Page 6 -
