Randall & Blake, Inc. <br />Board Meeting Minutes <br />March 19, 1998 <br />In attendance: <br />Richard Randall Randy Maher Jeff Kahler Pamela Randall <br />Marge Cocchiarella Todd Williams Eric Reger Jeff Croll <br />Meeting came to order at 10:10 a.m. <br />I) Rick Randall made a motion to approve the last meeting minutes as amended. Eric Reger <br />seconded this motion and all were in favor. <br />11) Cash position & financial statement by Jeff Kahler (year end financial results) <br />A) Cash is looking a little better as of today. <br />B) We are tapped-out on the line of credit. $440,000 left with $550,000 in checks to <br />go out. <br />C) Cash flow projection in 1998. Jeffs report shows that we will need a line of $2.6 <br />million and we will still be tapped-out. It will be tight for at least 6 months. <br />D) A comment was made about putting retainage money into investments so that we <br />can get interest on our money. <br />E) G&A needs to be bridled. <br />F) Receivables have improved but are still reaching the 60 day mark. <br />III) Work on Hand (Eric Reger) <br />A) For the time being we will merge team 24 into 21. We will have to look at the <br />equipment situation. <br />B) Every division does work in progress, even the service divisions as the process <br />alone will show them a lot about their work. <br />IV) Roll-Off Business (Todd Williams/Dave Burnley) <br />A) Successfully did the LRI/A-I partnership with Organic Recycling Services. <br />B) We need to check the rate on equipment. <br />C) CCL Organics was doing $120/year at inception but hasn't added much more. <br />We are evaluating their numbers to determine the minimum and maximum we <br />can charge. <br />D) Screening Plant: Orix has a repossessed 1994 Trommel screen616 model. Should <br />we get it for CCL Organics? <br />I) Jody made a motion that we not buy the Trommel screening plant and see <br />if something better comes along.
