<br />County records, hereinafter referred to as "lessor" and
<br />WESTERN ASSOCIATED ENERGY CORPORATION, a corporation created,
<br />existing, and in good standing under the laws of the State
<br />of Texas, and possessing a certificate of authority to do
<br />business i.n the State of Colorado, hereinafter referred to
<br />as the "lessee", WITNESSETFi:
<br />The parties hereto have entered into a Coal Lease
<br />Agreement, dated the 15th day of October, 1982 for a term of
<br />four years from date thereof, provided that the lease may be
<br />extended and remain in full farce and effect so long as the
<br />lessee shall be actively developing, mining, and marketing
<br />coal from the premises, all as is more particularly described
<br />in said lease, which lease affects all of the coal in, on,
<br />or under the property particularly described in Exh~.bit "A"
<br />attached hereto` together with the right to use so much of
<br />the surface thereof as is reasonably necessary in connection
<br />with the said Coal Lease. Agreement.
<br />• IN WETNESS WHEREOF, this Memorandum of Lease has been
<br />signed and sealed by the lessor and duly executed by the
