Box 69 <br />Milner, Colorado 80487 <br />RE: Subsidence Agreement <br />Dear Frank: <br />I appreciated you and Ed coming in to discuss the options for the subsidence agreement. I talked <br />with Mike Ludlow and went over the options we discussed and his direction is to complete a cash <br />agreement. Along this line, we discussed an amount of $50 - 75 per acre plus TCC would <br />complete surface repairs resulting from subsidence of the upland areas. This could include work <br />on stock ponds damaged by subsidence. From the experience gained on our properties I am not <br />anticipating any major repair work. I have not had to repair any ponds or surface undermined and <br />subsided here at TCC. <br />I will have the agreement drafted and then send a copy to you for your review. I'll need to place a <br />per acre amount in it, so you'll need to let me know what you would like to do along that line. <br />The land subject to subside impacts is your land located in sections l0 and 15. I don't anticipate <br />anything in section 3. <br />Please remember that operating a coal mine is a very costly proposition and this will add to, that <br />cost. Also, you'll need to let me know me know how you would like the payment made to you, <br />i.e. all in one year or spread out over a number of years. The first year of payment will be in <br />2002, if you want it to begin then. I imagine you have a little thinking to do on the disbursement <br />schedule to minimize tax implications. <br />Frank, we've worked well together over the years and look forward to continuing this relationship <br />into the future. You have been supportive of the mine's activities, and we likewise, have been <br />supportive of you surface leases with the State Land Board.
