INSTRUCTIONS THIS DOCUMENT MUST BE TYPED IN BLACK Colorado Law requires every Corporation and every Limited Liability Company to file a report each biennium (every other year). Reports will be mailed throughout the year to Corporations and Limited Liability Companies in the month in which they were formed. Examples: Corporations incorporated in odd numbered years will be required to file in odd numbered years. The requirements are the same for Limited Liability Companies. All corporations rind limited liability companies must file Iheir biennial repon no later than the end of the sE:cond month following the month in which the report form was mailed. Fees: DOMESTIC corporation or limited liability company DP DN LL $25.00 FOREIGN corporation or limited liability company FP FN LF $100.00 After the original due date, a late penalty of $25.00 is added to ALL biennial reports. If the second notice is not filed by the second rfue date: Domestic nonprofit corporations {DN) & limited liability companies (LL) are SUSPENDED. Domestic profit corporations (DP) are DISSOLVED. ALL foreign entities (FP, FN. LF) are REVOKED. You will then need to contact our office for the proper forms and filing fees. Officers: Colorado Law requires That each Nonprofit Corporation have a president, secretary and treasurer and that one person can hold more than one office except that the president and secretary cannot be the same. A Pro(il Corporation may allow tfte same individual to hold more than one office in the Corporation. II more space is needed, attach a separate 8~rp x 11 sheet of paper. Officers Titles: P=F'residenl A=Ass'1. Secretary V-Vice President T=Treasurer S=Secretary Directors &LLC Managers Corporations must list a minimum of one director and Limited Liability Companies must list a minimum of one manager. Directors shrall be natural persons 18 years of age or older. If more space is needed, attach a separate 8t/p x 11 sheet of paper. Registered Agent The registered office must be a street address in Colorado. A P.O. Box may be included. The registered agent must be at the street address. If a change of registered office or agent is made, you must notify this office within 30 days. When listing a new registered agent, the new agent must sign on the second line in fhe right hand column. First Report If Ihis is your first repod, you must list all officers and directors and their addresses. You need not complete the registered office and registered agent section unless there has been a change from what is shown in the left hand column. You can determine it Ihis is your First Report by the nine digit number in the box al the upper left hand corner on the front of the repod. The first two digits of this num- ber tndicale the year in which the corporation or LLC was formed. If it has only been two years since forminy, this would be your Fir:;t Report. If it has been lour years since forming, it would be your second report, efc. Corrections If you have previously filed a biennial report and there are no changes, you can mark the box al the lower portion of the repon form and then sign, date and return with the fee and by the date due as indicated in the upper left hand corner of the repon. II there are changes in the officers, directors, managers or registered office and agent, make these coreciions in the right hand column opposite the printed information. You need to change only what is necessary. Alter completion sign, date, enclose lee and return to the address shown below. Signature At the present time Colorado Law only recognizes President. Vice President, Secretary (or assistant) and Treasurer for a nonprofit cor- poration or in the ca;:e of Limited Liability Companies the manager as authorized signatures on the corporate report. When signing the report be sure to intlicate the Lille of the signer.
