INSTRUCTIONS <br />THIS DOCUMENT MUST BE TYPED IN BLACK <br />Colorado Law requires every Corporation and every Limited Liability Company to file a report each biennium (every other year). Reports will be <br />mailed throughout the year to Corporations and Limited Liability Companies in the month in which they were formed. Examples: Corporations <br />incorporated in odd numbered years will be required to file in odd numbered years. The requirements are the same for Limited Liability <br />Companies. All corporations and limited liability companies must file Iheir biennial report no later than the end of the second month following the <br />month in which the report form was mailed. <br />Fees: <br />DOMESTIC corporation or limited liability company <br />DP DN LL $25.00 <br />FOREIGN corporation or limited liability company <br />FP FN LF $100.00 <br />After the original due date, a late penalty of $25.00 is added to ALL biennial reports. If the second notice is not filed by the second due <br />date: <br />Domestic nonprofit corporations fDN) 8 limited liability companies (LL) are SUSPENDED. <br />Domestic profit corporations (DP) are DISSOLVED. <br />ALL foreign entities (FP, FN, LF) are REVOKED. <br />You will then need to contact our offie;e for the proper Corms and filing fees. <br />Officers: <br />Colorado Law requires that each Nonprofit Corporation have a president, secretary and treasurer and that one person can hold more <br />than one office except Ilia[ the president and secretary cannot be the same. A Profit Corporation may allow the same individual to hold <br />more than one olhce in the Corporation. II more space is needed, attach a separate 8v2 x t t sheet of paper. <br />Officers Titles: P-President A=Ass't. Secretary <br />V=Vice President T=Treasurer <br />S=Secretary <br />Directors &LLC Managers <br />Corporations must list a minimum of one director and Limited Liability Companies must list a minimum of one manager. Directors shall <br />be natural persons 18 years of age or older. If more space is needed, attach a separate 8Vp x 11 sheet of paper. <br />Registered Agent <br />The registered office must be a street address in Colorado. A P.O. Box may be included. The registered agent must be at the street <br />address. If a change of registered office or agent is made, you must notify this office within 30 days. When listing a new registered <br />agent, the new agent must sign on the second Irne in the right hand column. <br />First Report <br />I(this is your first report, you must list all officers and directors and Iheir addresses. You need not complete the registered office and <br />registered agent section unless there has been a change (rorn what is shown in the tell hand column. You can determine if this is your <br />First Report by the nine digit number in the box at the upper left hand corner on the Iront of the report. The first two digits of this num- <br />ber indicate the year in which the corporation or LLC was formed. If it has only been two years since forming, This would be your First <br />Report If it has been four years since forming, it would be your second report, etc. <br />Corrections <br />II you have previously filed a biennial report and there are no changes, you can mark the box at the lower portion of the report form and <br />Then sign, date and return with the lee and by the date due as indicated in the upper felt hand corner of the report.
