<br />This Bargain and Sale Deed is made and effective as of May 9, 1997, by and between
<br />ENERGY FUELS, LTD. 1'Grantor"1, a Colorado limited partnership whose street address is Three
<br />Park Central, 1515 Arapahoe Street, Suite 900, City and County of Denver, State of Colorado,
<br />80202, and IUC COLORADO PLATEAU LLC ('Grantee"1, a Colorado limited liability company
<br />whose street address is 1050 17th Street, Suite 950, City and County of Denver, State of
<br />Colorado, 80265.
<br />WITNESSETH, THAT, Grantor, for and in consideration of Ten Dollars IS10.001, in hand
<br />paid, and other good and valuable consideration, the receipt and sufficiency of which are
<br />hereby acknowledged, sells, grants, and conveys to the Grantee, its successors and assigns,
<br />the real property located in the County of Montrose, State of Colorado, more particularly
<br />described in Schedule A attached hereto and incorporated herein by reference Ithe 'Property"I,
<br />together with all its appurtenances including, without limitation, any and all improvements,
<br />personal property and fixtures, and any and all structures located thereon unless otherwise
<br />specifically excluded in Schedule A.
<br />TO HAVE AND TO HOLD to Grantee, its successors and assigns, forever; and the said
<br />Grantor, for its heirs, successors, and assigns, does hereby covenant that the Property is free
<br />. of all encumbrances except as described on Schedule A, attached hereto; and that Grantor
<br />has good right to sell the Property to Grantee. It is the intent of the parties that this Bargain
<br />and Sale Deed will pass to Grantee, its heirs, successors, and assigns, any after-acquired title
<br />of the Grantor.
<br />IN WITNESS WHEREOF, Grantor has executed this Bargain and Sale Deed as of the
<br />date first written above.
