11. LIENS
American Fuels agrees that no lien of any kind shall be
created or suffered to attach, or be in any manner cre-

ated by it upon or against said premises or any part
thereof. American Fuels shall keep and maintain posted
at all times, in a conspicuous place near each and
every entrance to the mine, and upon the principal
buildings, a notice of C&U's nonliability pursuant to
the provisions of any statutes relating to mechanics'
liens.
12. ASSIGNMENT
American Fuels further covenants and agrees that it
will not assign this lease, either in whole or in any
portion, nor sublet or underlet any portion of the
demised premises without the prior written consent of
C&U, which consent shall not be unreasonably withheld,
provided that American Fuels remains primarily liable
for the performance of the obligations hereunder. C&U
reserves the right to renegotiate the terms and provi-
sions hereof as a condition for giving its approval to
any assignment or sublease. Subject to the foregoing
provisions and conditions, this lease shall inure to
the benefit of and be binding upon the successors or
assigns of the respective parties hereto; but no
assignment hereof by American Fuels, its successors or
assigns, or any subsequent assignees, shall be binding
upon C6U, without its written consent and approval in
each instance, and at the option of C&U this Agreement
shall be forfeited by any such unauthorized assignment
or by any assignment thereof by operation of law, but
no termination hereof by forfeiture or otherwise shal-l--
release American Fuels, its successors or assigns or
subsequent assignees for any liability or obligation
(whether of indemnity or otherwise) which may have
accrued pcevious to or which may be accruing at the
time of such termination.
