<br />TTITS DEED is made this~~day of ~t`h;- , 2006, betuveen Navajo Peak, LLC, a
<br />Colorado Limited Liability Company of La Plata County, Colorado, Grantor, and Continental
<br />Divide Ranch, LLC, whose address is 7361v1ain Ave., Dtugngo, CO 81301, Grantee:
<br />WITNESSETH, that the Grantor, for and iln consideration of the sum of Ten Dollars and
<br />other good and va[uable consideration, the receipt and sufficiency ofwhich is hereby acknowledged,
<br />has granted, bargained, sold and conveyed, and by these presents does grant, bargain, sell, convey
<br />and confirm unto Grantee, its heirs and assigns forever, all the real property, together with
<br />improvements, if any, situate, lying and being in the County of Archuleta, State of Colorado,
<br />described on Exhibit A, attached hereto and incorporated herein ("the Property"):
<br />TOGETI3ER with all and singularthehereditamentsaud appurtenancesthereunto belonging,
<br />or in any wise appertaining, and the reversion and reversions, remainder and remainders, rents,
<br />issues, and profits thereof, and a[t the estate, right, interest, claim and demand whatsoever of the
<br />Grantor, either in law or in equity, of, in and to the above bargainedpremises, with the hereditaments
<br />and appurtenances. All mineral, oil, gas, ore and aggregate (including gravel) rights which Seller
<br />awns in the Property are conveyed without warranty.
<br />TOGBTI-lER with any water rights appurtenant to or historically used upon the Property,
<br />without wartaraty, including but not limited ro the two existing gallery wells on the Property, and all
<br />rights related thereto.
<br />RESERVING unto Grantor, and its successors and assigns, a sixty (60) foot wide, perpetual,
<br />non-exclusive access and utility easement through the Property described as "Old Chama Road" on
<br />the plat ofContinental Divide Ranch, recorded in the Archuleta County CIerk and Recorder's Oflicc
<br />under Reception No. 2060118 ("tlte Easement"). The Easement is for the benefit of Grantor's
<br />property described in that deed to Grantor from Navajo Valley Ranch, LLC dated July 12, 2005 and
<br />recorded in the Archuleta County Clerk and Recorder's Office under Reception No. 20507073, less
<br />and except the Property conveyed herein.
<br />TO HAVE AND TO HOLD the said premises above bargained and described, with
<br />appurtenance unto the Grantees, their heirs and assigns forever. And the Grantor, for itself, its heirs,
<br />and personal representatives, does covenant, grant, bargain and agree to and with the Grantee, its
<br />heirs and assigns, that at the time of the ensealing and delivery of these presenu is well seized of the
<br />premises above conveyed, has good, sure perfect, absolute and indefeasible estate of inheritance, in
<br />law, in fee simple, and has good right, full power and lawful aDthority to grant, bargain, sell and
<br />convey the soma in mamter and form as aforesaid, and that the same are free and clear from all
<br />former and outer grants, bargains, sales, liens, texts, assessments, encumbrances and restrictions of
<br />whatever kind or nature soever, except as follows:
