~ix~~ Mom%n LAFARGE ^ ' ATTACHMENT FOR SUBMITTALS TO GOVERNMENT AGENCIES ' The Western Mobile organization consists of numerous corporations. ,Each of these corporations is a sepazate Legal entity with permits, contracts, employees etc. in its own name and which pays taxes under ' its own tax identification number. ' The following aze some of the names that have referred to the Western Mobile companies in the past: Broderick and Gibbons, Inc. Mineral Reserves, Inc. Mobile Premix,`Inc. Mobile Premix Concrete, Inc. Westem Mobile Boulder, Inc. ' Western Mobile Denver Western Mobile Northern, Tnc. Westem Mobile Southern, Tnc. ' Westem Paving Constmction Company Lafazge Corporation finalized the acquisition of Western Mobile and its subsidiaries, effective June 4, 1998. In the near future, you will begin to hear and see the Lafarge name via our phone messages, letterhead, signs, correspondence, at our sites, and on our company trucks and equipment. ' Over the next six months, Lafarge will determine how the corporate structure will be changed, perhaps by merging some of the corporations together and/or merging one or more of them into Lafazge Corporation. ' In this interim period before the corporate organizational structure is determined, each of the Westem Mobile corporations has been advised by the Lafazge Legal Department to represent itself in the ' following manner: 1. For purposes ofbusiness identity ' The Western Mobile corporations should continue using their existing federal tax identi&cation numbers and should be identified as Westem Mobile (Northern, Southern, etc.) doing business as (d/b/a) Lafazge. The Westem Mobile corporations will be using the "Lafazge" tradename, but ' not the "Lafarge Corporation" legal entity identification. 2. For purposes of identifying corporate ownership ' If a permit or a contract requires that the regulatory authority or other party be notified as to a change in control of the corporation, Western Mobile should now be identified as being owned ~ by Lafarge Corporation, not Redland PLC. We are the same faces with a new company name. Please do not hesitate to call with any questions.
