The term "Grantors' Consent" as used in this Agreement shall mean four (4) of <br />the six (6) Grantors must agree in writing to grant consent. <br />20. Headings. Ail headings of this Agreement have been inserted for convenience of reference only, are <br />not to be considered a part of this Agreement, and shall in no way affect the interpretation of any of the <br />provisions of this Agreement. <br />21. Successors and Assigns. The terms Grantor and Grantee, as used herein, shall include the <br />successors and assigns of each Grantor and Grantee. <br />22. Entire Agreement. This Agreement is subordinate to all prior agreements, written, oral or implied <br />between the parties hereto dealing with the subject matter covered by this Agreement, and constitutes the <br />entire agreement between the parties. The recitals are a part of this Agreement. <br />23. Approval and Amendment. This Agreement mayonly be amended bya writing signed byall parties. <br />24. Relationship of Parties. Nothing in this Agreement shall be interpreted or construed as a <br />partnership or joint venture. <br />25. Governing Law. This Agreement shall be construed in accordance with and governed by the laws of <br />the State of Colorado. <br />26. Counterpart Execution.
