such data required...by_,,.(ii.~ ,above, or.,..,.if the data produced <br />by SELLER does not reveal coal quantities and qualities in <br />conformity with this Agreement, or reveals other material <br />deficiencies which in the opinion of PURCHASER would prevent <br />Sc^LLER from complying with the terms of this Agreement, <br />then, at the option of PURCHASER, this Agreement shall <br />terminate upon the giving of such notice by PURCHASER. <br />Further, within six (6) months from the date of the Original <br />Agreement, SELLER shall prepare and submit such other initial <br />plans, as set forth above, to PURCHASER. Upon receipt of <br />the initial plans, PURCHASER shall have the right to review <br />them, both individually and jointly with SELLER, and to <br />• submit them to and consult with third parties, if deemed <br />necessary. Before submitting such plans to third parties, <br />PURCHASER shall obtain the written agreement of such third <br />party to maintain the plans proprietary to SELLER and PUR- <br />CHASER, not to disclose the plans to other third parties, to <br />use the plans only for purposes of this Agreement, and to <br />return the plans to PURCHASER upon request. PURCHASER, <br />acting in good faith and with due diligence, shall have the <br />right to determine if the SELLER's exploration of said coal <br />reserves and such initial plans reveal (a) coal quantities <br />and qualities in conformity with those in this Agreement, <br />(b) no material deficiencies therein, (c) satisfactory title <br />• in SELLER sufficient to enable SELLER to mine and sell coal <br />from such Coal Property, and Cdl that they are in all material <br />-4- <br />
