<br />THIS AGREEMENT is made and entered into t},is 12th day of
<br />April , 1982 , by and between CF4I STEEL CORPORATION, a
<br />Colorado corporation (hereinafter 'CF4I') and Mid-Continent
<br />Resources, Inc., a Delaware corporation (hereinafter
<br />'Lessee').
<br />W I T N E S S E T H
<br />I. RECITALS
<br />CP&I is tl,e owner of those unpatented mining claims situate
<br />in Garfield County, Colorado, which claims, alony with tl,e
<br />extent of CFbI's ownership therein, are more particularly
<br />described as follows (tereinafter 'Premises');
<br />Tiyer Placer Claims 2-6 inclusive,
<br />Lynx Placer Claims 2-6 inclusive,
<br />Lion Placer Claims 2-4 inclusive,
<br />. containing 260 acres more oc less.
<br />The Premises ace depicted on the map attached hereto and incor-
<br />porated herein by this reference as Exhibit A.
<br />II. CONSIDERA'PION AND PURPOSE
<br />In consideration of tl~e loyalties, promises, covenants and
<br />agreements contained l,ereit-, CF6I does hereby grant, demise,
<br />lease and let exclusively unto Lessee the Premises for tl,e pur-
<br />poses of surveyiuy for, exploring for, prospecting for, sa,nl,l-
<br />ing, drilling for, developing, mining (whether by underground,
<br />strip or open pit), stockpiling, reu~oviny, sl~ii,piny, process-
<br />ing, and marketing all grades and types of limestone; toyetl,er
<br />with the right to enter upon, use and affect tl,e Premises and
<br />so much of the surface thereof as may be reasonably necessary,
<br />convenient or suitable to effect t1,e purposes of t1~is Lease;
<br />the riyl,t to construct, install, utilize, operate, maintain,
<br />repair, replace and relocate facilities necessary or reasonably
<br />convenient for the extraction and marketing of limestone, in-
<br />cluding buildings, roads, excavations, shafts, dumps, drains,
<br />ditches, canals, ponds, reservoirs, haulageways, power lines,
<br />conveyors; the right to use all easements and rights-of-way to
<br />which CFI may be entitled for ingress and egress to and from
<br />the Premises; reserving unto CFriI all other riyi,ts to possess,
<br />use and occupy the Premises without interfe[iny witl, Lessee's
<br />operations or activities thereo;i, includi~ty, without li~oita-
<br />tion, the right to use the surface thereof and the right to
<br />explore for, mine and remove all non-limestone mi„erals in
<br />accordance with t1,e provisions of Section XII below.
