(b) If at any time Lessee considers abandonment of any water rigY,ts used or acquired by Lessee pursuant hereto, Lessee shall first notify CF6I of such intent and s),all allow CFSI 90 days, in which to determine whether it agrees that such water rights should be abandoned. Lessee agrees not to abandon any such rig),ts if CFSI determines such rights should be re- tained. (c) Nothing contained k,erein shall t,e construed to prevent CFSI from developing or using water for its own pur- poses on or off tt,e Premises in a manner that does not inter- fere with Lessee's operations. 7.7 Labor and taterials. Lessee shall provide and promptly pay for all of its labor, materials and other sums relating to t},ird-party contracting services on the Premises. Lessee agrees to indemnify CFSI and agrees to ),old CFSI free and harmless from any claim, charge, cause of action or da,aage based upon or arising out of or in connection with Lessee's ~ acts },ereunder, in regard to the furnishing of labor and the acquisition of materials and supplies. 7.8 Taxes, During the term of this Lease, Lessee, and not CFSI, shall pay when due all general ad valorem and property taxes to the extent such taxes exceed the taxes assessed against the Premises for 1982. Lessee shall pay all other law- ful public taxes and assessments, wk,ether general, specific, or otherwise, assessed and levied upon or against the Premises or production therefrom, or attributable to Lessee's operations hereunder, or upon any property or imorovemec,ts placed by Les- see o,i the Premises for its own use, including all severance taxes; provided, however, that CFSI shall pay any income tax levied on at,y royalties pald to it by Lessee herein. Lessee shall have the right in good faith to contest any of the above taxes and assessments but shall not permit or suffer the Prem- ises or any part thereof, or any improvements or personal prop- erty thereon, to be sold at any time for such taxes or assess- ments. VIII. SUzRENDER KENi;WAL AND TERt1Ilr'ATION 8.1 Ter,:,ination by CFSI. CFSI may terminate this Lease, in tt,e event of default by Lessee, as set forth in Section X below. 8.2 Rene,aal of Lease. CF6I expressl}' reserves the right reasonably to readjust and fix royalties payable hereunder and other terms and conditions at the end of the primary term here- of and thereafter at the end of each succeeding ten year period -6-
