describing the nature of that dispute (the "Dispute Notice"). Matters requiring mutual <br />agreement shall not be arbitrable except as otherwise expressly provided in this <br />Agreement. <br />(b) The parties shall negotiate expeditiously in good faith in an <br />effort to resolve any disputes arising under this Agreement. Resolution of disputes by <br />negotiation shall be acknowledged in writing by both parties. Any dispute which is not <br />resolved by negotiation within thirty (30) days after the date of the Dispute Notice may <br />be referred to arbitration by either party and the same shall be resolved not later than one <br />hundred fifty (150) days after such referral to arbitration in accordance with Section <br />12(c). <br />(c) Any controversy, claim or need for interpretation arising out <br />of or relating to this Agreement, or the breach thereof, shall be settled by binding • <br />arbitration administered by the American Arbitration Association in accordance with its <br />Commercial Arbitration Rules, including the Emergency Interim Relief Procedures, using <br />an arbitrator knowledgeable in the field of the subject matter in arbitration, and judgment <br />on the award rendered by the arbitrator may, if no appeal is taken, be entered in any court <br />having jurisdiction thereof. Any such arbitration shall be conducted by one arbitrator at a <br />neutral site in Colorado. <br />Consistent with the expedited nature of arbitration, each party will, upon <br />written request to the other party, promptly provide the other with copies of documents <br />(C0907205.I } <br />• <br />3-4.56 <br />
