(b) In order to assist Grantor in the performance of its obligations <br />under Section 6(a) hereof, Grantee agrees to submit work orders to Grantor from time to <br />time in the form attached hereto as Exhibit 2, setting forth the nature of the maintenance <br />or repair action required. <br />(d) Grantor shall have no obligation to construct, upgrade or <br />improve any Road to a standard beyond what is required for Grantor's then current use. <br />Grantee shall not upgrade or improve any Road without Grantor's prior written consent. <br />which consent shall not be unreasonablywithheld. <br />(f) Grantee hereby agrees to use the THR in compliance with all <br />applicable laws and regulations, including, but not limited to, all applicable permits, and <br />in accordance with the terms and conditions of the Easements and all current and future <br />security and safety policies of Grantor and its affiliates. <br />(g) Without limiting the generality of Section 6(f) hereof, any <br />vehicle driven by an employee, agent or independent contractor of Grantee on any <br />Permitted Road or any other Road that may be permitted in the future by Grantor shall be <br />equipped with a secondary brake retarding system that will provide the operator of the <br />vehicle an additional method of slowing the vehicle in the event the vehicle's primary <br />braking system malfunctions. Examples of acceptable secondary retarding systems <br />include, but are not limited to, drive shaft brakes, exhaust brakes, "Jake" brakes, manual <br />transmissions (low gear), automatic transmissions (low gear - -provided that they are <br />{C0907205.1} <br /> <br />3-4.49 <br />
