<br />~ e~on13~8 past 82 <br />by Corn on the leased premises or against any stockpiled materials <br />on the leased premises or against any increase in ad valorem <br />taxes caused solely by the conduct of sand and gravel operations <br />on the leased premises. All such taxes shall be paid before the <br />same become delinquent. <br />8. Lathams warrant title to the leased premises and to <br />the sand and gravel located thereon and hereby indemnify Corn <br />from any adverse claims whatsoever. <br />9. At the expiration of the lease term, or prior <br />thereto if the gravel has been mined out, or the expiration <br />of any extension hereto which Corn may exercise as provided <br />hereinabove, Corn shall complete the reclamation of the property <br />at Corn's sole expense in accordance with the terms of the <br />permits issued by Mesa County, Colorado and Colorado Mined Land <br />Reclamation Board. <br />10. Notwithstanding the provision set forth hereinabove <br />that Corn shall be entitled to exclusive possession of the leased <br />premises, this lease shall be subject to a 50' right-of-way on <br />the north and west side of Larkin Ditch for use by Lathams and <br />other owners of Larkin Ditch and their licensees. In addition, <br />Lathams shall be privileged to use that portion of the leased <br />land not then involved in the mining and processing for grazing <br />purposes and Corn shall install livestock tight fences to keep <br />the livestock out of the mining and processing area. <br />11. Corn agrees that it shall begin mining on or near <br />the north end of the leased premises and mine in a southerly <br />direction and that the mining shall be conducted in a contiguous <br />manner, subject always to the right and privilege of Corn to <br />reserve a portion of the leased premises for processing and <br />stockpiling. <br />12. Lathams are the owners of the S~NE;NE; Section 33, <br />Township 8 South, Range 97 West, Mesa County, Colorado, which <br />premises also contain sand and gravel. Lathams and Corn contem- <br />plate that the permits to be obtained by Corn shall include the <br />said described tract. Lathams hereby grant to Corn the first <br />right of refusal to extract the sand and gravel therefrom and <br />- 4 - <br />
